Overview

A company is not static. Partners join and leave, managers change, activities are added, the name is rebranded, the head office moves, and one day the company may be converted into a different form, merged, redomiciled or wound up. Each of these is a change to the company's constitutional documents and its licence, and each must be approved, notarised and registered with the licensing authority, the Ministry of Economy where relevant, the tax authority and the banks. An unregistered change is not effective against third parties, and a badly drafted amendment can create a dispute years later.

What we do

For share transfers and changes in ownership we draft the sale agreement, the amended memorandum and the resolutions, obtain any approvals the activity requires, arrange notarisation and complete the registration with the licensing authority and the ultimate beneficial owner register. For changes of manager, board and signatories we prepare the resolutions and update the licence, the bank mandates and the immigration records. For changes of name, activity or premises we obtain the approvals, amend the licence and the memorandum, and update the trademark, domain and contracts that refer to the old details.

For larger changes we advise on and implement the conversion of legal form, for example from a sole establishment to an LLC or from an LLC to a private joint stock company, the redomiciliation of a company from one jurisdiction to another, mergers and demergers, and the increase or reduction of share capital. When a company reaches the end of its life we handle the liquidation: shareholder resolutions, appointment of the liquidator, notices to creditors, clearances from the tax authority, the Ministry and the immigration department, and the final deregistration. Frequently asked questions

How long does a share transfer take?

In a mainland LLC, typically two to four weeks including notarisation and the licensing authority; some activities need prior approval. Free zone timelines vary.

Can a partner be removed without their consent?

Only in the circumstances set out in the memorandum, the shareholder agreement and the Companies Law, and often only through the court. We advise on the options before any step is taken.

Do I need to tell the bank and the tax authority about a change of manager?

Yes. Bank mandates, the tax registration and the beneficial owner register must be updated, and failure to do so can freeze accounts or lead to penalties.

How long does liquidation take?

A simple voluntary liquidation takes two to four months, depending on the clearances required from the tax authority, the Ministry and the immigration department.
